Statement for Export Control and Trade Compliance
You acknowledge and agree that any transfer, sale, re-sale, export or re-export of any Seeed Items received from Seeed will comply with all applicable Trade laws and regulations, including but not limited to those of the U.S., China, EU and other countries. You further certify to the following certifications:
  1. Before transferring, selling, re-selling, exporting or re-exporting Seeed Items, you will screen all parties to the onward transaction against the Sanctioned Entity, and you will comply with any restrictions related to any such parties. Any legal entity, natural person (individual) or organization listed in any of the following sanctions list shall be deemed to be the Sanctioned Entity:
    1. destinations embargoed by the U.S. government;
    2. Denied Persons List, Unverified List, Entity List and Military End User List of the U.S. Export Administration Regulations;
    3. Specially Designated Nationals and Blocked Persons Lists, Sectoral Sanctions Identifications (SSI) List, Non-SDN Chinese Military-Industrial Complex Companies (CMIC) and other negative lists issued by the U.S. Department of the Treasury;
    4. Chinese Military Companies List issued by the U.S. Department of Defense;
    5. Foreign End User List issued by China; and
    6. other negative lists issued by U.S., China, EU or other countries.
  2. You certify that Seeed Items will not be transferred, sold, re-sold, exported or re-exported to the Sanctioned Entity except as permitted by the applicable Trade laws.
  3. You certify that you will use Seeed Items for civil end-uses and not for any of the following uses:
    1. to be used in the design, development, production, stockpiling, or use of chemical or biological weapons and their precursors;
    2. to be used in the design, development, production, stockpiling, or use of missiles, rocket systems or unmanned air vehicles of any range or payload;
    3. to be used in the nuclear explosive activities, including research on or development, design, manufacture, construction, testing or maintenance of any nuclear explosive device, or components or subsystems of such a device;
    4. to be used in the unsafeguarded nuclear activities, including research on or development, design, manufacture construction, operation, or maintenance of any nuclear reactor, critical facility, facility for the fabrication of nuclear fuel, facility for the conversion of nuclear material from one chemical form to another, or separate storage installation, where there is no obligation to accept International Atomic Energy Agency (IAEA) safeguards;
    5. to be used in the design, development, production, construction, support, or maintenance of a maritime nuclear propulsion project;
    6. to be used, directly or indirectly, contrary to the applicable Trade laws.
  4. You certify that it shall not transfer, sale, re-sale, export or re-export Seeed Items to, or provide Seeed Items for ultimate end use in, North Korea, Iran, Afghanistan, Cuba, the so-called Donetsk People’s Republic, the so-called Luhansk People’s Republic, Russia, Belarus, Syria, and the Crimea, Donetsk, Luhansk, and Zaporizhzhia regions, or any other country or region subject to comprehensive sanctions administered by any competent sovereign governmental authority or the United Nations.
  5. You certify that Seeed Items will not be exported or re-exported for use by or for by persons who commit, threaten to commit or support terrorism.
  6. You have informed or will inform all third parties receiving Seeed Items of the foregoing obligations.
  7. You undertake to cooperate fully with Seeed in any official or unofficial audits or inspections related to Trade compliance, and to indemnify and hold Seeed harmless from and against any damages caused by or in connection with any violation of the applicable Trade laws conducted by you, or employees, consultants or agents of you.
